In standard rental agreements, the payment interval for rent can often be determined by ticking a box. If this has been overlooked, the payment interval must be determined through supplementary contract interpretation.
The rental deposit serves as security for the landlord in case the tenant fails to fulfill their obligations under the lease agreement. If the landlord has a claim arising from a different legal relationship than the rental agreement, the law prohibits offsetting the rental deposit against this claim.
Standard lease agreements used in commercial tenancy law are subject to content review. The clause-based transfer of the obligation for cosmetic repairs to the tenant must therefore be carefully drafted to ensure its validity.
If one of the parties is represented at the conclusion of the contract, it is sufficient that the fact of the representation is evident from the contract document for the benefit of the purchaser, who is primarily protected by § 550 BGB.
